On November 1, the Ministry of Justice issued a notice to solicit public opinions on the regulations for the implementation of the foreign investment law of the people's Republic of China (Draft for comments). The foreign investment law will come into force on January 1st, 2020. In order to ensure the effective implementation of the law, the regulations on the implementation of the foreign investment law of the people's Republic of China (Draft for comments) drafted by the Ministry of justice, the Ministry of Commerce, the development and Reform Commission and other departments solicit public comments from the public through the Internet.

In order to regulate the administration of foreign investment, the exposure draft has made four provisions:

1、 A wholly-owned enterprise established outside China by a Chinese natural person, legal person or other organization that invests in China may not be restricted by the Special Administrative Measures for access stipulated in the negative list of foreign investment access.

2、 Where foreign investment requires the approval and filing of investment projects, the relevant provisions of the State Council and the investment department under the State Council shall apply.

3、 It clarifies the review mechanism for the restricted investment areas in the negative list of foreign investors' investment, and stipulates that the market supervision and administration department shall review whether the foreign investment meets the restrictive requirements in terms of share ratio and senior executives specified in the negative list when handling registration; If the relevant competent department has already audited the relevant procedures in accordance with the law, it will not be audited again.

4、 The foreign investment information reporting system is further refined from the perspective of standardizing the submission of foreign investment information and reducing the burden on foreign investors and foreign-invested enterprises as much as possible.

According to the exposure draft, the state plans to establish a punitive compensation system for intellectual property infringement, promote the establishment of a rapid collaborative protection mechanism for intellectual property, improve the diversified settlement mechanism for intellectual property disputes and the assistance mechanism for intellectual property rights protection, and strengthen the protection of intellectual property rights of foreign investors and foreign-invested enterprises.
